Business Relationships

Incentive Depot acts solely as a value added reseller for its suppliers; the suppliers are independent parties over which Incentive Depot exercises no direct control. Incentive Depot shall not be liable for claims, losses, damages, costs, expenses, delays or loss of enjoyment of any nature or kind whatsoever, to you or your participants, resulting from the acts, omissions or negligence of anyone other than us or our employees acting properly on our behalf. Laws, tariffs or conditions on rewards may also limit suppliers' liability and in particular you should read and understand the limitations of liability set forth in the suppliers' Terms and Conditions.

Indemnity

You agree to defend, indemnify and hold harmless each of Incentive Depot, its officers, directors, employees and agents, including all third parties mentioned at the Website, from and against any and all claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from your use of the Website and the Materials or your breach of these Terms and Conditions.

You hereby submit to the exclusive jurisdiction of the courts in British Columbia for any claim related hereto, arising herefrom or in connection herewith and agree not to bring any action, claim, suit or proceeding against Incentive Depot (or any officer, director, or employee thereof) in any jurisdiction other than British Columbia. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms and Conditions.

Any legal proceeding arising from or in connection with these Terms and Conditions, this Website or the Materials must be brought within one (1) year after the event which is the subject of the proceeding has occurred. If any provision of these Terms and Conditions shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and Conditions and shall not affect the validity of any remaining provisions. These Terms and Conditions constitute the entire agreement between you and Incentive Depot and override anything else on the Website. This agreement may be assigned by Incentive Depot. This Agreement shall enure to the benefit of and be binding upon the respective successors and permitted assigns of the parties hereto.
